Terms of Service

These Terms of Service govern access to and use of Orelis (the “Service”), provided by ZoniteAI. This is a placeholder draft pending review by counsel and will be replaced before general availability. By creating an account or using the Service, you agree to these terms.
1. Accounts and eligibility
You must be at least 18 years old and authorized to act on behalf of the dental practice you register. The practice owner is responsible for the actions of users they invite and for keeping login credentials confidential.
2. Trial and subscription
New practices receive a 7-day free trial of the Service. After the trial, continued access requires an active subscription on a Standard or Pro plan. If a subscription lapses, the Service is locked down except for billing and authentication endpoints needed to restore access.
3. Acceptable use
You agree not to misuse the Service: no reverse engineering, no automated scraping outside documented APIs, no uploading malicious content, no use that violates applicable health, privacy, or consumer-protection law, and no use that infringes third-party rights.
4. Customer data and PHI
You retain all rights to data you and your team upload (“Customer Data”), including protected health information. We process Customer Data only as instructed by you, the practice administrator, and as needed to operate the Service. PHI processing in the United States is governed by an executed Business Associate Agreement.
5. AI features
The Service offers AI-assisted features such as voice transcription, encounter summaries, and patient reports. AI output is a draft that supports — but does not replace — clinical judgment. The treating dentist is solely responsible for clinical decisions, diagnosis, treatment planning, and the contents of the patient record.
6. Fees and billing
Subscription fees are billed monthly in advance through our payment processor. Failed payments enter a short grace period; persistent failures suspend the practice until payment is restored. Refunds are not provided for partial months; you can cancel at any time and retain access through the end of the paid period.
7. Termination
Either party may terminate by giving notice. We may suspend or terminate immediately for breach of these terms, suspected security risk, or non-payment. On termination, you have a reasonable window to export Customer Data; afterwards we delete it consistent with our retention obligations.
8. Disclaimers and limitation of liability
The Service is provided on an “as is” basis. To the maximum extent permitted by law, we disclaim implied warranties and limit our aggregate liability to fees paid in the twelve months preceding the claim. Nothing in this section limits liability that cannot be limited under applicable law.
9. Changes to these terms
We may update these terms from time to time. Material changes will be communicated to practice owners by email or in-product notice at least 14 days before they take effect.
